How dilution works in a priced round

When you raise a priced round, new shares are issued, so everyone's percentage shrinks even though your number of shares doesn't change. The new investor's stake is raise ÷ post-money (post-money = pre-money + raise). An option pool is usually created pre-money, which means it dilutes existing shareholders, not the incoming investor. This calculator carves the pool pre-money and dilutes existing holders by the investor stake plus the pool, the common "pre-money pool" convention. Real term sheets vary, so treat this as a fast estimate, not legal advice.

Worked example: a $2M seed round at $8M pre-money

Two founders hold 6,000,000 and 4,000,000 shares. They raise $2,000,000 at an $8,000,000 pre-money valuation and create a 10% option pool before the money comes in.

HolderPre-roundPost-roundValue
Founder A (6,000,000 shares)60.0%42.0%$4,200,000
Founder B (4,000,000 shares)40.0%28.0%$2,800,000
Option pool (new)-10.0%$1,000,000
New investor ($2,000,000 ÷ $10,000,000)-20.0%$2,000,000
Total at $10,000,000 post-money100%100%$10,000,000

The founders keep 1 − 20.0% − 10.0% = 70% of their pre-round stakes, so existing holders are diluted by 30.0%.

Frequently asked questions

What is a cap table?
A capitalization table lists everyone who owns part of the company (founders, employees through the option pool, investors) with their shares and percentage ownership. It is updated every time shares are issued, so it is the record you check before and after each round.
How do you calculate ownership after a funding round?
The new investor owns raise ÷ post-money, where post-money = pre-money + raise. With a pre-money option pool, each existing holder keeps their old percentage × (1 − investor stake − new pool). In the example above, Founder A goes from 60.0% to 60.0% × 0.70 = 42.0%.
Is there a free cap table template?
This page works as a live cap table template: enter your holders and the round, and the post-round table updates as you type. To build one in a spreadsheet, list each holder with a share count, add the new shares each round issues, and divide every holder's shares by the new total.
Does the option pool dilute founders or investors?
When the pool is created pre-money, as in this calculator, it dilutes only the existing holders, so founders carry it and the new investor does not. With a 10% pool and a 20% investor stake, existing holders are diluted by 30.0% in total.
What is the difference between pre-money and post-money valuation?
Pre-money is what the company is worth before the new cash; post-money adds the raise. $8,000,000 pre-money plus a $2,000,000 raise is $10,000,000 post-money, and the investor's 20.0% is 2,000,000 ÷ 10,000,000. See the SaaS valuation guide for where the pre-money number comes from.
How does a cap table change over several rounds?
Each round repeats the same step on the new table, so dilution compounds. To see your stake after Seed, Series A and B in one view, use the dilution calculator.
